End-User Licence Agreement
Effective date: October 4, 2026
For installations accepted before October 4, 2026, this edition applies 14 days after we notify you of it by email; until then the version you accepted continues to apply (section 12.2).
In short: You receive a licence to use the Tonamorph Software on up to three computers for one named user, including for lawful professional and client work. You choose the audio sent for cloud processing and remain responsible for the necessary content rights. We do not charge royalties on your lawful use of the results. The software licence does not clear music rights. Open-source component rights and mandatory consumer rights are preserved.
1. Agreement and scope
1.1 This End-User Licence Agreement ("EULA") is between you and Gregory Diachenko, an individual carrying on business in Israel under the trading name Tonamorph, Israeli VAT registration number 346136757, with a business address at 36 Brodetsky Street, Tel Aviv-Yafo 6905155, Israel ("we", "us" or "our"). It covers the Tonamorph plugin, standalone application, installers and updates that we supply (the Software).
1.2 Accept this EULA through the installation or other acceptance step before using the Software. Do not install or use it if you do not accept it. Merely downloading a file is not represented as a replacement for an acceptance step where one is legally necessary.
1.3 The Terms of Service govern accounts and cloud processing. The Refund Policy governs refunds; the Privacy Policy explains data handling. This EULA governs software-specific licensing. Mandatory rights and broader rights for particular third-party components prevail.
1.4 Beta versions. Section 4.7 of the Terms of Service ("Beta features") applies to beta versions of the Software. A build identified as beta (for example "0.1.0-beta.3") is a beta version within that section.
2. Licence and musical work
2.1 Subject to this EULA, we grant a personal, non-exclusive licence for one named user on up to three computers the user owns or controls. A business may obtain an account for an authorised named user; this does not create an unlimited shared studio licence. The licence may be terminated only on the grounds described here and under applicable law, not merely at our unfettered discretion.
2.2 You may use the Software for hobby, professional and client projects and deliver your lawful musical work to clients. This does not permit redistributing the Software, sharing account access or operating a white-label processing service without agreement. You may keep a reasonable archival backup of the installer.
2.3 Content rights. You retain the rights you hold in submitted and created material. As between you and us, we claim no ownership of your Input or task-specific Output and charge no royalty or attribution fee for its lawful use. Terms section 8 explains the limited technical permission, any assignment of rights we hold solely in Output, and the exclusion of our technology and third-party rights from that assignment.
2.4 Creating stems, MIDI or instruments does not itself establish a copyright, clear source rights or make every intended release lawful. No permission to use third-party recordings, compositions or performances is included in this software licence. The Copyright Policy explains these responsibilities.
3. Restrictions and lawful exceptions
3.1 Unless permitted by this EULA, a component's licence or mandatory law, do not distribute, rent, sublicense, sell, share or make the Software available to other users; remove required notices; bypass account, usage or credit controls; use stolen credentials; or misrepresent an affiliation with us.
3.2 Do not modify, decompile, disassemble or attempt to extract proprietary code, algorithms or models except to the extent that applicable law permits despite a contractual restriction. This limitation does not remove mandatory interoperability, observation, study, testing, backup or error-correction rights. Ask support@tonamorph.com for interoperability information where appropriate; a request is not an extra condition where the law does not permit us to impose it.
3.3 These restrictions do not prohibit honest reviews or lawful comparisons, and do not override authorised security research. Research permission covers only what that policy expressly authorises. A user's right to their Output is not a right to extract or redistribute our model weights.
4. Accounts, cloud processing and local data
4.1 New cloud processing requires an account, connectivity and credits. The user selects the clip and operations. The selected audio is transmitted for server-side processing; the Software is not represented as an entirely local separator.
4.2 Transmissions needed for operation include authentication requests and tokens, selected audio and processing options, job and credit requests, application/version information, and necessary technical headers. Your IP address is visible to a contacted server. Device authorisation, host/version or installation events and optional diagnostics, where enabled in the release, are described in the Privacy Policy and the relevant controls. We do not represent that an audio upload is the only network request.
4.3 An optional plugin crash-reporting feature is off until you enable it. Necessary server error diagnostics are a separate flow and are not described as controlled by the plugin's crash-report switch. We do not intentionally include audio, credentials or unrelated project contents in diagnostics. Diagnostic attachments must be minimised.
4.4 Installing the Software does not give us general permission to browse your disk, read your contacts or receive your complete DAW project. A file you separately send to support is handled for that support request, not as model-training material. We do not use your Input or Output to train, fine-tune or evaluate machine-learning models, or to build model-evaluation datasets, and we do not allow our providers to do so (Terms section 8.7).
4.5 The Software stores settings, authentication tokens and downloaded results locally. Protect your operating-system account and backups. Someone with full access to that account may be able to read locally stored tokens. Sign-out and cache-removal options depend on the release; you can also remove the associated local files. Do not assume uninstalling every host removes every project or cache file automatically.
4.6 Uploaded audio and generated results are deleted from our storage 24 hours after upload (Terms section 8.4), subject only to the narrowly defined legal-preservation exception in Privacy section 5. Local downloads remain under your control; local files do not disappear solely because our server copy is deleted. Already downloaded, supported instruments can be played offline, subject to the Software licence and compatible host environment.
4.7 Cancelling a cloud subscription does not by itself transfer ownership of your material to us or revoke rights in lawful Output. It does not promise continued availability of new processing, future releases or every server-dependent feature.
5. Ownership and third-party components
5.1 We and our licensors own the Software and associated technology. It is licensed, not sold. The limited content permission in the Terms is not a purchase of your music and does not license unrelated uses of it.
5.2 Third-party components are governed by their own terms, reproduced or identified in THIRD_PARTY_LICENSES.md, supplied with the Software and at Third-Party Licences. Where those terms grant additional rights for a component, they prevail for that component. Nothing here prevents exercise of required source-access or library-replacement rights.
5.3 Use of format and DAW names describes compatibility and does not imply endorsement. Rights in those names remain with their respective owners.
6. Updates and compatibility
6.1 Updates may address defects, security, compatibility or functionality. Release requirements identify supported systems and hosts. We may require an update for continued cloud access where reasonably needed for security or API compatibility and give appropriate notice where practicable.
6.2 We do not promise perpetual support for every older version or configuration. We do supply updates and other remedies required by mandatory conformity law and any express support commitment. Refusal to install a necessary, properly notified update affects responsibility only to the extent applicable law allows.
6.3 A new version may have separately disclosed terms. New terms do not retrospectively reduce rights already granted for an installed version merely by being placed on a website. A change in cloud functionality follows the Terms.
7. Duration and termination
7.1 This licence continues until ended under these provisions or a separately agreed licence term. You may end it by stopping use and deleting the Software. This does not by itself cancel a recurring transaction with the merchant of record; use the cancellation route in the Terms.
7.2 We may terminate for a material breach or a legal requirement, with notice and a reasonable opportunity to cure where appropriate. Immediate action is permitted for serious misuse, circumvention, security threats or where law requires it. A minor mistake or lawful complaint does not automatically terminate the licence without review.
7.3 On termination, stop using and delete the proprietary Software except as permitted by law or a separate agreement. Third-party licence rights are not terminated by this EULA where their own terms do not provide for it. Termination does not transfer your musical material to us. Financial and cloud-account consequences follow the Terms and Refund Policy.
8. Quality, warranties and consumer remedies
8.1 Except for express commitments and mandatory rights, the Software is supplied as available, without a promise of uninterrupted operation, perfect transcription, pristine stem isolation or suitability for every host or artistic purpose.
8.2 You should save projects and evaluate results before relying on them. A disclosed estimation limitation is different from missing functionality or a materially defective release. A file being technically readable does not establish conformity with every agreed requirement.
8.3 Consumers retain mandatory rights to conforming digital content and services and the applicable corrective, price-reduction, termination or refund remedies. Contact support@tonamorph.com. A credit adjustment is not a substitute for a cash refund where one is legally required.
9. Liability
9.1 Terms section 16 applies to the Software as well as the cloud Service. Subject to its mandatory exclusions, the Business Customer cap is the greater of US$50 and the amount paid for the Service in the 12 months before the event giving rise to the claim. This is one shared cap, not an additional cap under this EULA.
9.2 Consumer limitations apply only where permitted and fair under applicable law. Nothing limits non-excludable liabilities, required refunds or statutory conformity remedies. Backup advice does not waive liability for our own unlawful conduct.
9.3 The Business Customer indemnity in Terms section 17 is not duplicated or enlarged here. It does not shift our own failure to license third-party software or models to the user.
10. Lawful use, export and sanctions
10.1 Do not acquire, export, re-export or use the Software in breach of applicable export-control or sanctions law. Restrictions apply only to the extent they lawfully apply to the transaction and parties; the applicable restrictions depend on the parties, destination, transaction and use.
10.2 The Software is a creative audio tool, not a safety-critical control system. It is not designed or warranted for a use in which an audio-processing failure directly controls life or physical safety.
11. Governing law and disputes
11.1 Israeli law and the competent courts of Tel Aviv-Yafo apply subject to the mandatory-law and consumer-jurisdiction protections in Terms section 20. That section also explains the absence of a mandatory arbitration provision in this standard agreement.
11.2 The UN Convention on Contracts for the International Sale of Goods does not apply. Applicable seller terms separately govern a dispute with the seller about its purchase agreement.
12. General
12.1 Terms section 21 applies where relevant. A transfer of our business does not expand the permitted use of your audio or remove accrued rights. An invalid provision does not erase mandatory protections.
12.2 We may update this EULA for new versions of the Software. The version that applies is the one you accepted when installing the Software; publicly posting a different EULA does not alone establish acceptance of it. We retain the version accepted for the applicable Software, and each version remains available at its own permanent address, https://tonamorph.com/legal/eula/<date>, where the date is that version's effective date in the form YYYY-MM-DD. The current version is at https://tonamorph.com/legal/eula.
12.3 This EULA is written in English; translations are for convenience only, and the English version prevails to the extent the law allows. Mandatory local-language rules remain protected.
